Please read them carefully.These Terms of Use, along with the information and policies contained in the Privacy Policy, FAQ, and any other documents referred to herein (collectively, these "Terms") set out the legal terms and conditions applicable to your ("You" or "Your") use of our website www.zoee.co.in (the "Site"), app & social media handles, any of its subdomains, and any other websites operated by our company or on our behalf and any other services we offer.This Site is owned and operated by Hustle Network, (ZOEE," "Us," "Our," or "We"). You may use this Site only subject to your acceptance of and compliance with these Terms. If you do not agree with these Terms, you may not use the Site. If you use the Site, or if you order merchandise through the Site, We accept this as your acknowledgement and acceptance of these Terms.PLEASE NOTE: Our services are intended for personal, non-commercial use only. Commercial use requires a separate license agreement.You acknowledge that your use of the Site is at our discretion, and your license to use the Site may be terminated by us at any time. We reserve the right, at our sole discretion, to refuse service, to terminate any user's account, and to alter or delete any material submitted to the Site through a user's account.

CHANGES TO THESE TERMS

Any changes to these Terms will be included in a revised version of these Terms accessible through the Site, App, social media handles, email communications, etc. If you do not accept any revisions made to these Terms, You must stop using the Site.

PURPOSE OF THE SITE

The purpose of the Site is to allow you to commission an original song ("Song") from a third-party Music Artist ("Music Artist") for your personal use (the "Services"). You may also apply to become a Music Artist and to receive compensation for composing Songs for customers of ZOEE.

RESTRICTIONS ON YOUR USE OF THE SITE

We grant you a limited, nonexclusive and revocable license to make use of the Site. You agree to use this Site only for lawful purposes and in accordance with these Terms. Your use of this Site may be terminated by us at our discretion. We reserve the right to determine, limit, provide, and withdraw access to the Site. This Site may not be used by children under the age of 18. Without limiting the foregoing, you specifically agree that you shall not:
  1. Submit information that is untrue, harassing, abusive, threatening, advertising, soliciting, advocating an illegal activity, infringing, or in violation of any law
  2. Access, download or copy any other user's account information
  3. Bypass any technical measures used to prevent or restrict access to any portion of the Site
  4. Violate or attempt to violate the security of the Site
  5. Interfere with or attempt to interfere with the proper working of the Site
  6. Engage in any unauthorized use of content and materials included on the Site which, unless otherwise noted, is owned by us
  7. Make commercial use of the Site beyond the uses contemplated herein or modify, adapt, translate, copy, reproduce, imitate, distribute, publish or resell the Site or any of the content on the Site
  8. Use any data mining, robots, or similar automated data gathering and extraction tools to access the Site
  9. Reverse engineer, decompile or disassemble the Site, or convert into human readable form any of the contents of this Site not intended to be so read

SUBMISSION OF CONTENT AND USER ACTIVITY

You understand that all information, communications, data, text, photographs, scans, or other materials that are uploaded, submitted, posted, emailed, transmitted or otherwise made available on or through the Site (collectively, "Content") are the sole responsibility of the person or company from which such Content originated. This means that you, and not ZOEE, are entirely responsible for all Content that originates from you.

KEY TERMS

  1. License and Usage. Upon completion of the transaction, we grant you a non-exclusive, non-transferable license to use the purchased content for personal, non-commercial purposes only. All rights not expressly granted are reserved by Hustle Network Pvt. Ltd. Unauthorized commercial use is prohibited.
  2. Order Modifications. Due to our quick turnaround time, artists often begin working on orders immediately after they are placed. Once you submit your order, we cannot guarantee any changes will be included. If you email us at support@zoee.co.in with your request, we will try our best to accommodate it, but modifications are subject to feasibility and are not assured.
  3. Revisions and Refunds. As of now, we are not accepting revisions or changes requested post-delivery. Our team ensures quality through multiple checks before delivery. Since each song is custom-made and cannot be reused, we do not offer refunds. We promise to deliver a good-quality recording that meets the ordered length and has vocals on key.
  4. Content Guidelines. We reserve the right to refuse any request for songs containing content deemed derogatory or offensive towards any individual, religion, race, nationality, gender, age, brand, or legally protected status. Political content is generally avoided. In such cases, a full refund will be provided.
  5. Commercial Use. Our standard rights/licensing agreement is for personal use only. Using your song in any setting that is not for personal use, without obtaining a commercial license, is illegal and a violation of our Terms of Use and the artist's copyrights. If we notice that a song's content implies that it may require a commercial license, we will send you an invoice accordingly and halt the progress on the song until the invoice is paid.
  6. Intellectual Property. All content provided by Zoee India, including but not limited to songs, lyrics, and recordings, is protected by intellectual property laws. Unauthorized use or distribution is prohibited.
  7. Limitation of Liability. To the fullest extent allowed by applicable law, under no circumstances shall Zoee India or any of its affiliates be liable for any indirect, special, incidental, punitive, or consequential damages of any kind.
  8. Governing Law. These Terms and Conditions are governed by and construed in accordance with the laws of India. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Jaipur, Rajasthan.

DISPUTE RESOLUTION

In the event of any disputes or differences arising between the Parties in respect of any of the terms and conditions contained in this said agreement ("Dispute"), the Parties shall attempt to resolve such Dispute amicably within a period of 30 (thirty) days from the date of either Party notifying the other of such Dispute having arisen ("Settlement Period"). In the event the Parties are unable to resolve the Dispute amicably before the expiry of the Settlement Period, such Dispute shall be settled by arbitration of a sole arbitrator, who shall be mutually appointed by the Parties within a period of 15 (fifteen) days from the date of expiry of the Settlement Period. The arbitration proceedings shall be in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The place of arbitration shall be New Delhi, India.

REFUND AND REVISION POLICY

Every song is custom made to-order and cannot be reused by another customer, so unfortunately we cannot offer refunds. Music is highly subjective, and sometimes there is something that the customer just doesn't enjoy.Here are things that we promise to deliver:
  • Good-quality recording (no glitches/cut-ins cut-outs/accidental distortion/song too quiet)
  • Song meets the ordered length
  • Vocals are on key
  • Lyrics will contain the keywords, and some of your story details, and is according to the inputs provided from your end subject to creativity.
